Tasks to be performed

The Legal Contract Engineering Service in IP R&D contributes to:

• Anticipate the risks specific to the files, alert, advise and propose solutions adapted to the business
• Analyze and interpret national and international texts, as well as contracts already signed
• Negotiate and draft a wide range of contracts with our Academic and Industrial Partners (NDA, Services, Cooperation, JIP, Industrial    Licenses, Technology Transfers), with particular attention to Intellectual Property and confidentiality, taxation, compliance, and the risk of contamination
• Participate in accelerating the harmonization of our Intellectual Property practices and   research contracts to improve operational efficiency

The Service Provider will be in relationship with different types of suppliers: SMEs, VSEs, EURL, Universities, Public or Private Institutions and Institutes and various countries: France, Europe, USA, China, Brazil, Russia, Australia...

The Service Provider is in direct contact with the legal and commercial managers of companies and organizations, both private and public. Most contracts are specific and require a large amount of legal development and adjustments.

Ensure the legal support of the Client during negotiations (conformity of contracts):

• Guarantee HSE and AntiCorruption clauses of contract templates   during negotiations
• Improve and evolve the Client’s R&D   Contracts Repository
• Protect the Customer's knowhow 
• Participate in the Client's CROSSCUTTING WORKSHOPS, Contracts, Clauses and HSE

Negotiation of contracts concerning the Client's R&D (Sustainability, Power, Downstream, others):

• Establish   R&D contracts in compliance with the       
• Customer's procedures and operating rules 
• Participate in the protection of the Client's intellectual property through the continuous assessment of contractual risks
• Perform multilevel contractual risk analysis (HSE, responsibilities, country constraints, financial, tax, legal, patent, intellectual property, compliance, operational   implementation)
• Define the contractual strategy in agreement with the Client's teams (technical, legal, patent and valuation engineers), considering any synergy plans
• Negotiate contractual and commercial terms with suppliers and partners in liaison with the Customer (R&D prescribers) and according to their needs
• Draft R&D agreements from ad hoc tools (questionnaires, clauses, standard contracts or nonstandard contracts)
• Propose strategies and actions during negotiations
• Monitor and manage contracts (Contract Committees, COPIL, regular meetings with the Client responsible for R&D Programs...)
• Ensure the continuity of services of contracts signed to the Client's teams (R&D prescribers)
• Formalize feedback (REX) of files deemed relevant.

 Technical Prerequisites

• Intermediate to senior expertise
• Good knowledge of AngloSaxon legal practices (Common Law)
• Excellent practice of business law / international contracts / Intellectual Property in the R&D sector in law firm or company with an intellectual property specialization
• Ability to negotiate with both private companies and public entities
• Ability to draft contracts in French and English
• Ability to develop innovative solutions and manage complex files
• PostR&D phase knowledge
• Expertise in the international industrial sector
• Language of service: French and English
